ADS Processing LLC doing business as “Empeon” (“we,” “us,” or “our”) understands that when you engage with our Site at https://empeon.com/ (the “Site”), you are entrusting us with personal information, and we are committed to transparency about how we collect, use, and share that information.

Empeon is a leading provider of enterprise software as a service (SaaS) application for human capital management (the “Empeon Platform”). Our customers are employers (“Employer(s)”) managing their workforce efficiently using the Empeon Platform. The Empeon Platform offers solutions for the following:

It is important to understand that Empeon’s Employers maintain control over the data they and their authorized employees (or independent contractors) (“SaaS Users”) input and transmit to the Empeon Platform. If you are an Employer’s employee, you will access the Empeon Platform by going to the ESS Hub found at https://hub.empeon.com/signin. If you are an Employer, you will access the Empeon Platform by going to Workforce found at https://app.empeon.com/signin.

As a general framework under applicable data privacy laws, rules, or regulations, a “Controller” owns the personal information data it collects and determines the purposes and means by which personal information data is processed.A “Processor” processes personal information data on behalf of a Controller. Employers are Controllers of its SaaS Users’ personal data. As a provider to Employers of the Empeon Platform, Empeon is the Processor for an Employer with respect to an Employer’s SaaS Users’ data. This Privacy Notice does not cover how Empeon Processes personal information on behalf of our Employers as a data processor; Processing is governed by our agreement(s) with Employers. If you are an employee or job applicant of an Employer using our Empeon Platform, please direct any privacy-related inquiries to that Employer.

Empeon’s Site

Empeon is a controller and processor when it collects data only when a person visits the Empeon Site located at https://empeon.com/ (“Empeon Sites”). This Privacy Notice applies when Empeon collects your personal information from Empeon Sites. It explains how we collect, use, and share your personal information when:

You interact with Empeon as a representative of a business that has (or is considering) a relationship with us
You register for and/or attend our marketing or training events
You provide feedback about our products or services

Empeon collects personal information you provide to us when you access the Empeon Advertising Pages or otherwise when you contact us directly. “Personal information” means any information relating to an identified or identifiable individual. Common examples of personal information include name, email address, and phone numbers.

Information Provided by You.We collect different types of personal information depending on how you interact with us. If you interact with the website and submit contact information requested, we will collect that information and use it for the purpose for which you provided it.

If you are an authorized User through an Employer

Before logging in to the Empeon Platform, we may log certain systems usage information automatically. This information may include system-generated identifiers such as IP address, operating system type and version, whether service tasks and notifications complete, date and time stamps, and details about which of our solutions you are using through the Empeon Platform. We do not identify you from this systems usage information unless your Employer first provides us with instructions to do so and also provides us with certain information about your User account.

Sales and Marketing Activities

We may collect your information to determine which of our solutions might be appropriate for you. Any personal information collected will be used for the purpose for which it was provided.

The technologies we use for this automatic data collection may include:

Cookies and Other Tracking Technologies:We may use cookies, for example, to engage in certain retargeting activities that may better enhance your user experience. Cookies are also used to collect general usage and volume statistical information that does not include personal information. We may also use another company or third-party service to place cookies on your computer to collect information to compile aggregated statistics for us about users of the website.

We will not collect additional categories of personal information or use the personal information we collect for materially different, unrelated, or incompatible business purposes set forth above without providing you notice.

Disclosure of Your Information

We may disclose personal information that we collect from:

Customers: We share personal information for Employer legal and administrative requirements, for security purposes, contractual purposes, and as required by law. We share this data based on our legitimate business interests.

Third Party Providers: We may share data with third party suppliers that provide us services as subprocessors (i.e., process data on our behalf), such as security vendors. We authorize these suppliers to use data only as necessary to provide the Empeon Platform on our behalf or to comply with legal requirements. We require all such suppliers to agree in writing to protect the security and confidentiality of the data they Process for us. All such third parties only receive data pursuant to a contractual relationship where the service provider is required to comply with all applicable privacy laws and to use the personal information only for the purposes for which it is disclosed.

Governmental authorities: We may share personal information with law enforcement agencies, courts, or other government authorities where we believe it is necessary to: (i) comply with a legal obligation; (ii) protect the rights, safety, and property of Empeon, you, or others; or (iii) respond to requests from courts, law enforcement agencies, regulatory agencies, and other public and government authorities. We may share this data on the basis of our legitimate interests to facilitate the operation of our business and our compliance with applicable laws and regulations.

Data Protection Rights

Based on applicable laws of your state of residence in the US, you may have the right to request access to the personal information we collect from you on Empeon Sites , details about how we processed it, correct inaccuracies, or delete your personal information.

If you are a Employer’s SaaS User, you can access or modify your personal information on the Empeon Platform, or you may contact your Employer to request a copy of your information or to have changes made.

Data Security

We implement and maintain organizational, technical, and administrative security measures designed to safeguard the data we process against unauthorized access, destruction, loss, alteration, or misuse. These measures are aimed to provide on-going integrity and confidentiality of data, including your personal information and the integrity of the Empeon Platform.

The Internet is a global network, however, and there are therefore times when your information may not be completely secure. We cannot guarantee or warrant the security of your personal information, or any other information transmitted to or through the Site, and to the fullest extent permissible by law, we disclaim any responsibility for the theft, destruction, or inadvertent and unlawful disclosure of such information. If you provide us with information over the internet, you do so at your own risk. It is your responsibility to protect the security of your login information to the Empeon Platform.

Data Retention

We will retain and use personal information provided on Empeon Sites as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements. When deciding how long to keep data after a relationship has ended, we consider our contractual, legal, and regulatory obligations. For example, we may be entitled to retain records to investigate or defend against potential legal claims or where required by law. Where we retain personal information, we do so in accordance with any applicable limitation periods, internal data retention policies, contractual obligations, and records retention obligations that may be imposed by applicable law.

When we have no ongoing legitimate business need to process your personal information, we will either delete or anonymize it. If deletion or anonymization is not technically feasible (e.g., because your personal information has been stored in backup archives), then we will securely store your personal information and isolate it from any further processing until deletion is possible.

The Site is hosted in the United States. Personal information is stored in a cloud, used in accordance with applicable law, applicable terms of use and written agreements, this Privacy Notice, and processed by Empeon in the United States or one of our service providers based in the United States or outside of the United States. By using the Site, you expressly consent to any such transfer and storage of information outside of your country of residence, where data protection laws may be different and/or determined to be less stringent.

If at any time you would like to unsubscribe from receiving promotional or commercial emails from us, you can click the unsubscribe link at the bottom of any email. We will comply with your request(s) as soon as reasonably practicable.

Do Not Track Requests

Please note that your browser setting may allow you to automatically transmit a “Do Not Track” signal to Sites and online service you visit. There is no consensus among industry participants as to what “Do Not Track” means in this context. If you visit Third Party Sites or submit Information to any of those Third Party Sites, your visit and information is governed by their privacy policies. We encourage you to carefully read the privacy policies of any Third Party Sites you visit, as it may differ substantially from that of this Policy. Empeon makes no representations or warranties with respect to, nor is Empeon responsible for the privacy policies of any Third Party Sites. Information Relating to Minors

Our Site and the Empeon Platform are not targeted to persons under thirteen years of age. We will never knowingly request or solicit personal information from anyone under the age of thirteen without verifiable parental consent. In the event that we receive actual knowledge that we have collected personal information of anyone under the age of thirteen or under the age of majority in your jurisdiction without the requisite and verifiable parental consent, we will delete that information.
